ZIVLI TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern access to and use of the Zivli website, member web application, mobile application, programs, courses, memberships, coaching services, communities, digital materials, downloads, and related features offered by Zivli LLC (“Zivli,” “we,” “our,” or “us”), collectively, the “Services.”
These Terms contain provisions that apply to different types of users:
Part I — Terms for All Users applies generally to anyone who accesses or uses Zivli’s website, applications, content, or Services.
Part II — Terms for Members & Coaching Participants applies to purchasers, subscribers, members, and individuals who participate in Zivli coaching, calls, groups, communities, or other interactive Services.
Part III — General Legal Terms contains additional legal terms governing use of the Services.
By creating an account, purchasing, accessing, or using a Service, or electronically accepting these Terms, you agree to the provisions that apply to you, Zivli’s Privacy Policy, and any offer-specific terms presented at checkout or enrollment.
If you participate in coaching Services, your acceptance of these Terms also constitutes your affirmative acknowledgment and consent to the Health Coaching Scope & Member Consent contained in Part II.
If you do not agree to the applicable Terms, do not access, purchase, or use the Services.

PART I — TERMS FOR ALL USERS
Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement.
You agree to provide accurate, current, and complete information when creating an account, purchasing a Service, or enrolling in a program.
General Nature of the Services
Zivli provides consumer health education, wellness education, digital tools, courses, programs, and health coaching focused on brain-based behavior change, Emotional Brain Training (“EBT”), general nutrition and metabolic-health education, stress regulation, sleep, physical activity, emotional regulation, accountability, and sustainable lifestyle habits.
Nutrition is one component of a broader educational and behavior-change program.
Zivli is not marketed or delivered as physical therapy, mental health care, psychotherapy, a medical weight-control program, disease treatment, or other licensed clinical care. Emotional Brain Training (“EBT”) is provided as an educational framework for learning stress-regulation, emotional-regulation, and behavior-change skills, not as psychotherapy, mental health treatment, or trauma treatment.
The Services are not emergency or crisis services.
Certain Services may include coaching. The nature and limitations of those coaching Services are described in Part II.
Accounts and Security
You are responsible for maintaining the confidentiality of your account and login credentials and for activity occurring through your account.
You may not share paid access unless Zivli expressly permits it.
Notify Zivli promptly if you suspect unauthorized access to your account.
Zivli may temporarily restrict an account to investigate unauthorized access, protect users or the platform, or enforce these Terms.
Privacy and Information Security
Your use of the Services is governed by Zivli’s Privacy Policy, available at https://zivli.com/privacy.
Zivli maintains administrative, technical, and physical safeguards designed to protect personal information.
No method of electronic transmission or storage is completely secure, and Zivli cannot guarantee absolute security.
Nothing in these Terms waives a privacy or data-protection right that cannot legally be waived.
Intellectual Property
The Services and their content—including videos, recordings, course materials, worksheets, app tools, designs, text, graphics, trademarks, logos, frameworks, and other proprietary materials—are owned by Zivli or its licensors.
Subject to these Terms and payment of applicable fees, Zivli grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Services for personal, noncommercial purposes.
Without written permission from Zivli, you may not:
reproduce, distribute, sell, sublicense, or publicly display Zivli materials;
share paid content, downloads, or account access;
create competing commercial products or services from Zivli materials;
remove copyright, trademark, or other proprietary notices;
reverse engineer the platform where legally restricted; or
use Zivli branding in a manner suggesting sponsorship, affiliation, or endorsement.
Member and User Content
You retain ownership of content you submit through the Services.
You grant Zivli a limited, nonexclusive license to host, store, reproduce, transmit, and display that content as reasonably necessary to operate, secure, support, and improve the Services or comply with applicable law.
This operational license does not authorize public marketing use of your identifiable image, story, or testimonial without any separate permission required by law.
You represent that you have the right to submit the content you provide.
Third-Party Services
The Services may connect with third-party providers for payment processing, messaging, video communications, hosting, analytics, app distribution, storage, and other functions.
Third-party services may be governed by their own terms and privacy policies.
To the extent permitted by law, Zivli is not responsible for a third party’s independent acts, omissions, availability, security, or content.
Prohibited Conduct
You may not:
use the Services unlawfully or fraudulently;
harass, threaten, impersonate, exploit, or harm another person;
disclose another member’s private information;
interfere with platform security or operation;
introduce malicious code;
scrape or collect data without authorization;
attempt to gain unauthorized access;
share paid content or account credentials;
misrepresent Zivli content as your own professional advice;
use the Services to provide unlicensed clinical services;
infringe intellectual-property or privacy rights; or
violate applicable Participation Standards.

PART II — TERMS FOR MEMBERS & COACHING PARTICIPANTS
This Part applies to purchasers, subscribers, members, and individuals who participate in Zivli coaching, calls, groups, communities, or other interactive Services.
Health Coaching Scope & Member Consent
If you participate in Zivli coaching Services, by enrolling in or participating in coaching and accepting these Terms, you acknowledge and consent to the following.
Nature of Zivli’s Coaching Services
Zivli provides consumer health education, wellness education, and health coaching focused on brain-based behavior change, EBT, general nutrition and metabolic-health education, stress regulation, sleep, physical activity, emotional regulation, accountability, and sustainable lifestyle habits.
Nutrition is one component of a broader educational program designed to help members understand and improve the habits, behaviors, and lifestyle factors that influence health.
Zivli’s coaching Services are not provided as:
physical therapy;
medical care;
psychotherapy or mental health treatment;
trauma treatment;
Medical Nutrition Therapy; or
diagnosis or treatment of disease.
EBT is provided as an educational behavior-change and emotional-regulation framework, not as psychotherapy, mental health treatment, or trauma treatment.
No Licensed Clinical Relationship
Certain Zivli personnel hold professional healthcare licenses or credentials. Those credentials reflect their education and professional backgrounds but do not convert Zivli’s coaching Services into licensed clinical care.
Participation in Zivli coaching does not create a physical therapist-patient, physician-patient, dietitian-client, psychotherapist-client, or other licensed provider-patient relationship.
Zivli does not perform physical therapy examinations, establish physical therapy diagnoses or plans of care, or provide physical therapy treatment through its coaching programs.
Information provided through coaching is not a substitute for individualized evaluation, diagnosis, or treatment from an appropriately licensed professional.
General Nutrition and Metabolic-Health Education
Zivli may provide general education regarding macronutrients, micronutrients, food quality, meal planning and preparation, eating patterns, hunger and fullness awareness, and how nutrition, sleep, stress, and physical activity relate to metabolic health.
Zivli may also provide general education about topics such as A1c, blood glucose, insulin resistance, hsCRP, inflammation, weight, and metabolic health, including how nutrition and other lifestyle behaviors may relate to these topics.
Discussion of these subjects is educational. It does not constitute a diagnosis, patient-specific interpretation of laboratory results, or disease-treatment plan.
Coaches may review and discuss your food logs, eating patterns, goals, and experiences to support awareness, accountability, behavior change, and application of Zivli’s general educational framework. Coaches may offer general recommendations within that framework.
Zivli and its coaches do not:
diagnose medical, metabolic, or nutritional conditions;
tell you that a particular laboratory result establishes a diagnosis;
order laboratory testing;
independently interpret laboratory results for diagnosis or treatment;
establish an individualized clinical nutrition plan of care;
prescribe or order therapeutic diets;
adjust medications or advise you to change medications; or
clinically monitor and modify nutrition recommendations as treatment for a disease or medical condition.
Standardized Nutrition Tools
Zivli may provide standardized nutrition tools that generate estimated nutrition targets based on information you enter or select.
These estimates are educational tools. They are not medical prescriptions, therapeutic diets, individualized clinical treatment targets, or substitutes for recommendations from an appropriately licensed healthcare professional.
Coaches may help you understand and apply Zivli’s standardized nutrition tools within the general educational framework provided through the Services.
Referral and Professional Care
Zivli does not replace care from a physician, registered dietitian, licensed dietitian nutritionist, licensed nutritionist, mental health professional, or other qualified healthcare provider.
Questions involving diagnosis, abnormal laboratory findings, medication management, therapeutic diets, or disease-specific treatment should be directed to an appropriately licensed healthcare professional.
If your needs or questions extend beyond general education and coaching, Zivli may recommend that you consult an appropriately licensed professional and may limit or pause coaching related to that issue.
You remain responsible for obtaining appropriate medical, nutrition, or mental health care.
You agree not to discontinue or change medication or disregard professional medical advice based on information provided through the Services.
Consult an appropriate healthcare professional before making significant changes to food intake, fasting, supplements, physical activity, or other health practices when a medical condition or treatment may be affected.
This is particularly important if you:
have a diagnosed medical condition;
take prescription medication;
are pregnant or breastfeeding;
have a current or previous eating disorder; or
follow a medically prescribed nutrition, fasting, or exercise plan.
Risks and Personal Responsibility
Changes involving food intake, fasting, physical activity, stress-regulation practices, emotional-regulation exercises, and behavior change may affect individuals differently and may involve physical or emotional discomfort.
You voluntarily choose to participate and accept the ordinary risks associated with participation, except to the extent a risk cannot legally be waived.
You remain responsible for deciding whether and how to apply the education and recommendations provided through the Services.
Stop the applicable activity and seek appropriate professional care if you experience concerning physical or emotional symptoms.
No Guarantees
Zivli does not guarantee any particular health, weight, laboratory, medical, emotional, financial, or other outcome.
Results vary based on individual circumstances, participation, consistency, health status, and factors outside Zivli’s control.
Testimonials, case studies, laboratory improvements, and member stories describe individual experiences and are not promises or guarantees of similar results.
Not for Emergencies
The Services are not monitored continuously and must not be used for a medical emergency, mental health crisis, suicidal thoughts, severe symptoms, or any situation requiring immediate assistance.
In an emergency, call 911 or contact the appropriate emergency service in your location.
Membership & Purchase Terms
Fees, Billing, Subscriptions, and Payment Plans
The applicable price, billing schedule, subscription terms, minimum commitment, access period, program dates, and other material purchase terms will be disclosed at checkout or in offer-specific enrollment materials.
By completing a purchase, you authorize Zivli and its payment processors to charge your selected payment method for all amounts due.
Subscriptions automatically renew at the price and frequency disclosed at checkout until canceled.
You may cancel future subscription renewal through the method identified in your account or by contacting support@zivli.com.
Unless otherwise disclosed, cancellation takes effect at the end of the current paid billing period.
Certain programs may require a minimum commitment.
An installment plan divides the total purchase price into multiple payments and is not a month-to-month subscription unless expressly identified as one.
Unless the applicable offer terms state otherwise, discontinuing participation does not cancel remaining installment obligations.
You agree to maintain valid payment information. Zivli may retry failed payments and suspend access while an amount remains past due.
Cancellation and Refunds
Cancellation and refund terms may vary by Service and will be disclosed at checkout or in applicable offer-specific terms.
Unless an offer expressly provides otherwise, payments are nonrefundable after access to the applicable Service has been provided.
Cancellation of future subscription renewal does not ordinarily result in a refund of amounts already charged and does not cancel an existing installment obligation or minimum commitment.
Nothing in these Terms limits a refund, cancellation, billing-dispute, or consumer-protection right that cannot legally be waived.
You agree to contact Zivli at support@zivli.com to attempt to resolve a billing concern before initiating a payment dispute, without limiting any right available under applicable law.
Insurance and Reimbursement
Zivli does not bill health insurance, Medicare, Medicaid, or other third-party payers and does not provide physical therapy or medical billing codes for the Services.
Zivli does not guarantee that any Service qualifies for reimbursement through insurance, HSA, FSA, HRA, employer wellness benefits, or a similar program.
You are responsible for determining eligibility under your plan.
Access Periods and Program Terms
Access periods, program dates, coaching periods, membership benefits, minimum commitments, renewal terms, and other offer-specific conditions may vary by Service.
Those terms will be disclosed at checkout, enrollment, or within applicable offer-specific materials.
Access to one Service does not automatically include access to another Service unless expressly stated.
Coaching, Community & Participation
Group Coaching, Connection Calls, and Communities
Participation in group coaching, connection calls, and community activities is voluntary.
Other members are not Zivli employees, agents, or healthcare providers. Information or opinions shared by another member do not constitute advice from Zivli.
If you participate in a group setting, other members may hear or see information you voluntarily share.
Although members are required to respect one another’s privacy, Zivli cannot guarantee that another participant will maintain confidentiality.
You agree not to record, screenshot, reproduce, publish, or disclose another member’s identity, statements, health information, personal experiences, or other private information without permission.
Participation Standards
Certain coaching programs may have attendance requirements, conduct expectations, safety rules, connection-call requirements, or other Participation Standards disclosed at checkout or made reasonably available within the applicable program.
You agree to comply with all Participation Standards that apply to your program.
Zivli may warn, restrict, reassign, suspend, or remove a member who violates these Terms, applicable Participation Standards, or the privacy, safety, or rights of others.
Refund, payment, commitment, and access consequences associated with withdrawal or removal are governed by applicable offer-specific terms and law.
Recordings
Certain coaching calls, educational sessions, or group sessions may be recorded for authorized member replay access, quality assurance, coach development, training, safety, or internal operations.
Zivli will provide notice when a session is recorded.
By joining and remaining in a session after receiving notice, you consent to the recording of your voice, image, display name, chat messages, screen content, and statements.
Do not participate in a recorded session if you do not consent to being recorded.
Zivli will not use a recording containing your identifiable information in public advertising, testimonials, social media, or promotional content without separate permission when required.
You may not independently record, copy, download, transcribe, screenshot, publish, or distribute a Zivli session or recording without written authorization.
Member Privacy and Confidentiality
You are responsible for deciding what personal information you voluntarily share during coaching, connection calls, communities, or other interactive Services.
Other participants may hear or see information you share.
Members are expected to respect the privacy and confidentiality of other participants.
You may not disclose another member’s private information, statements, health information, personal experiences, or identity outside the applicable Zivli setting without permission.
Electronic, SMS, and Push Communications
By providing your email address, you consent to receive account, purchase, program, security, and other transactional communications electronically.
If you separately provide your mobile number and affirmatively consent to SMS communications, you consent to receive transactional text messages related to your account and use of the Services, including reminders, connection-call alerts, account or security alerts, and program-access information.
Message frequency varies. Message and data rates may apply.
Reply STOP or use another reasonable opt-out method to revoke SMS consent. Reply HELP for assistance or contact support@zivli.com.
Opting out of SMS does not cancel your account, membership, subscription, payment obligations, or participation in a program.
Push notifications may be controlled through your device or app settings.
Zivli does not sell your mobile number or share it for third parties’ independent marketing.
Suspension and Termination
You may discontinue using the Services at any time, subject to accepted minimum commitments, installment obligations, cancellation rules, and other purchase terms.
Zivli may suspend or terminate access for:
nonpayment;
misuse of the Services;
violation of these Terms or applicable Participation Standards;
conduct threatening another person’s safety, privacy, or rights;
suspected fraud or unauthorized access;
legal or regulatory requirements; or
discontinuation of a Service.
When reasonably practicable, Zivli will provide notice.
Provisions that should survive by their nature—including payment, privacy, confidentiality, intellectual property, disclaimers, liability, indemnification, and dispute provisions—will survive termination.

PART III — GENERAL LEGAL TERMS
Health Information and HIPAA
Zivli provides consumer health education, wellness education, and coaching Services.
Although certain Zivli personnel hold professional healthcare licenses or credentials, the Services are not provided as physical therapy, medical care, mental health treatment, or Medical Nutrition Therapy and do not establish a licensed provider-patient relationship.
Unless Zivli expressly notifies you otherwise, Zivli is not acting as a HIPAA-covered entity or business associate in connection with these Services.
Health-related information you provide in connection with Zivli’s health coaching and wellness Services generally is not protected health information (“PHI”) under HIPAA because these Services are not provided by Zivli as a HIPAA-covered healthcare provider. Accordingly, this information may not receive the same protections as health records maintained by a HIPAA-covered healthcare provider.
Zivli nevertheless handles personal information as described in its Privacy Policy and applicable law.
Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis.
Zivli disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement to the extent legally permitted.
Zivli does not warrant that access to the Services will be uninterrupted, completely secure, error-free, or compatible with every device or system.
Nothing in this section excludes a warranty or consumer protection that cannot legally be excluded.
Limitation of Liability
To the maximum extent permitted by law, Zivli and its owners, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits, revenue, data, or goodwill arising from the Services.
Zivli’s total aggregate liability arising from a Service will not exceed the amount you paid for that Service during the 12 months preceding the event giving rise to the claim.
These limitations do not apply to fraud, willful misconduct, gross negligence, or liability that cannot legally be limited.
Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Zivli and its owners, officers, employees, contractors, and affiliates from third-party claims, damages, and reasonable costs arising directly from:
content you unlawfully submit;
infringement of another person’s rights;
unlawful or fraudulent use of the Services; or
a material violation of these Terms.
This provision does not require you to indemnify Zivli for Zivli’s own negligence, misconduct, or violation of law.
Informal Dispute Resolution
Before initiating a lawsuit, you and Zivli agree to make a good-faith effort to resolve the dispute informally.
A party must provide written notice describing the dispute and requested resolution.
Notices to Zivli must be sent to support@zivli.com.
The parties will have 30 days after receipt of the notice to attempt resolution unless immediate legal relief is reasonably necessary.
Nothing in this section prevents you from contacting or filing a complaint with a governmental, law-enforcement, consumer-protection, or professional licensing authority.
The parties may mutually agree to mediation or arbitration after a dispute arises but are not required to do so without a separate written agreement.
Governing Law and Venue
These Terms are governed by Nebraska law, without regard to conflict-of-laws principles.
Except for an eligible small-claims action, a legal action arising from these Terms or the Services must be brought in a Nebraska state court with appropriate jurisdiction or the United States District Court for the District of Nebraska, unless applicable law requires another location.
Nothing in these Terms limits a consumer right or remedy that cannot lawfully be waived.
Changes to the Services or Terms
Zivli may modify, update, discontinue, or replace portions of the Services.
Zivli may update these Terms to reflect changes in the Services, business practices, or applicable law.
Updated Terms will identify a revised effective date.
Zivli will provide reasonable notice of material changes.
Continued use after the effective date constitutes acceptance except when affirmative consent is required by law or Zivli’s procedures.
If a material change affects the Health Coaching Scope & Member Consent, Zivli may require coaching members to affirmatively accept the updated Terms before continuing coaching Services.
Severability, No Waiver, and Assignment
If a provision of these Terms is invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain effective.
A failure to enforce a provision does not waive the right to enforce it later.
You may not assign these Terms without Zivli’s written permission.
Zivli may assign these Terms as part of a merger, acquisition, reorganization, sale of assets, or similar transaction, subject to applicable law.
Entire Agreement and Order of Precedence
These Terms, the Privacy Policy, and any offer-specific terms accepted at checkout or enrollment constitute the entire agreement concerning the applicable Services and are intended to be interpreted consistently.
Offer-specific terms control:
price;
billing schedule;
subscription frequency;
minimum commitment;
access period;
cancellation and refund terms;
program dates; and
other purchase-specific conditions.
The Health Coaching Scope & Member Consent contained in Part II controls your acknowledgments concerning the nature and limitations of Zivli’s coaching Services.
If an offer-specific provision directly conflicts with a general provision of these Terms regarding price, payment, access, cancellation, or program logistics, the offer-specific provision controls for that Service.
Electronic Acceptance
You consent to receive agreements, notices, disclosures, receipts, and other communications electronically.
By checking an acceptance box, completing a purchase after these Terms are presented, creating an account through an acceptance process, or otherwise providing affirmative electronic consent, you acknowledge that your acceptance is legally binding.
Zivli may retain the applicable document version, date, time, account information, offer, and method of acceptance.
General User Acceptance
By accepting these Terms, you confirm that you have read and agree to the provisions applicable to your use of the Services and acknowledge Zivli’s Privacy Policy.
Member and Coaching Participant Acceptance
If you purchase or participate in member or coaching Services, you additionally confirm that:
you have read and agree to the applicable provisions of Part II;
if you participate in coaching, you have read and understand the Health Coaching Scope & Member Consent;
you understand that Zivli provides consumer health education, wellness education, and health coaching;
you understand that Zivli coaching is not physical therapy, medical care, psychotherapy, mental health treatment, or Medical Nutrition Therapy;
you understand that discussion of A1c, blood glucose, insulin resistance, hsCRP, inflammation, weight, or other metabolic-health topics is general education and not diagnosis or patient-specific clinical treatment;
you understand that standardized nutrition tools provide educational estimates rather than medical prescriptions or therapeutic diets;
you remain responsible for obtaining appropriate professional care when needed; and
you voluntarily consent to participate subject to these Terms.
Your electronic acceptance has the same force and effect as your written signature.
