These Terms and Conditions (“Terms”) are entered into by and between you (“you,” “Member,” or “User”) and Zivli, LLC (“Zivli,” “Company,” “we,” or “us”).
These Terms govern your access to and use of:
* www.zivli.com
* The Zivli mobile application
* Any programs, courses, coaching services, memberships, digital downloads, communities, group sessions, and related services
(collectively, the “Services”).
By accessing or purchasing any Service, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree, do not use the Services.

1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement.

2. Nature of Services
Zivli provides educational services related to:
* Nutrition
* Metabolic health
* Lifestyle medicine
* Stress regulation
* Emotional Brain Training (EBT)
* Behavioral change
Zivli does not provide:
* Medical care
* Mental health treatment
* Psychotherapy
* Medical nutrition therapy
* Diagnosis or treatment of disease
All Services are educational in nature.

3. No Medical or Professional Relationship
Participation in the Website, app, courses, or coaching does not create:
* A provider-patient relationship
* A therapist-client relationship
* A fiduciary relationship
You are responsible for consulting your own licensed healthcare provider before making changes to medications, diet, exercise, or stress practices.

4. Assumption of Risk
You understand that lifestyle and stress-regulation programs may involve:
* Physical discomfort
* Emotional discomfort
* Psychological stress
* Unintended outcomes
You voluntarily assume all risks associated with participation.
You agree to seek appropriate medical or mental health care if needed.

5. Personal Responsibility & No Guarantees
You acknowledge:
* Results are not guaranteed.
* Testimonials are not typical or guaranteed outcomes.
* Your results depend on your effort, consistency, and individual circumstances.
You accept full responsibility for your health decisions.

6. Accounts & Security
If you create an account:
* You must provide accurate information.
* You are responsible for maintaining confidentiality of login credentials.
* You must notify us immediately of unauthorized access.
* We may suspend or terminate accounts for violation of these Terms.

7. Payments & Billing
All fees are disclosed at checkout.
By purchasing a Service, you agree to pay all charges associated with that Service.
If enrolling in a subscription or payment plan:
* You authorize automatic billing.
* You agree to maintain valid payment information.
* Failure of payment may result in suspension or termination.
Initiating a chargeback after agreeing to these Terms constitutes a breach and may result in permanent revocation of access.

8. Minimum Commitment
Certain Services, including subscriptions and coaching memberships, may require a minimum commitment as disclosed at checkout.
You agree to complete the minimum commitment before cancellation is permitted.

9. Refund Policy
All sales are final unless explicitly stated otherwise at checkout.
The following are non-refundable:
* 1:1 coaching
* Small group coaching
* Digital downloads
* Digital courses
* Subscription payments already processed
Refund policies, if offered for a specific Service, will be stated clearly at checkout.

10. Small Group Coaching & Community Participation
Participation in group coaching or online communities is voluntary.
You acknowledge:
* Other participants are not employees or agents of Zivli.
* Zivli cannot control what other participants do with information shared.
* Confidentiality among participants cannot be guaranteed.
You agree to maintain the confidentiality of other members and not share their personal disclosures outside the group.

11. Recordings
Zivli may record coaching calls or educational sessions for quality control, training, internal use, or member access.
By participating, you consent to the possibility of being recorded.
Zivli will not publicly distribute recordings containing your identifiable information without separate written consent.
Despite reasonable security measures, no system can guarantee absolute security.

12. Privacy & Confidentiality
Your use of the Services is also governed by our Privacy Policy.
Zivli uses reasonable administrative, technical, and physical safeguards to protect personal information.
However:
* No electronic transmission is completely secure.
* Participation in group settings involves voluntary disclosure.
* Zivli cannot guarantee confidentiality of information shared with other participants.
If you voluntarily disclose personal or health information in group sessions, forums, or communities, you do so at your own discretion and risk.
Zivli is not responsible for disclosures made by other participants.

13. SMS Communications
By providing your mobile phone number during account registration or at any point through your Zivli account, you expressly consent to receive transactional SMS messages from Zivli. These messages may include real-time call notifications, appointment reminders, and other account-related alerts.
Message frequency varies based on your activity within the app. Message and data rates may apply depending on your mobile carrier and plan.
You may opt out of SMS communications at any time by replying STOP to any message you receive from us. After opting out, you will receive one final confirmation message and no further SMS messages will be sent. To re-enable SMS communications, reply START at any time.

Zivli does not sell or share your mobile phone number with third parties for their marketing purposes. Your number is used solely to deliver notifications related to your Zivli account and app activity.

14. HIPAA Notice
Zivli operates as an educational coaching company and is not a healthcare provider.
Zivli does not submit insurance claims and is not acting as a covered entity under HIPAA for purposes of these Services.
If you voluntarily share health-related information, you acknowledge that such information may not receive the protections of a covered medical provider relationship.

15. Intellectual Property
All content provided through the Services—including videos, worksheets, branding, frameworks, app tools, course materials, and digital products—is the exclusive property of Zivli.
You are granted a limited, non-exclusive, non-transferable license for personal use only.
You may not:
* Copy
* Share
* Redistribute
* Create derivative works
* Reverse engineer
* Teach or resell content
Unauthorized use may result in termination and legal action.

16. Feedback
If you submit feedback or suggestions, you grant Zivli the right to use them to improve Services without compensation.

17. Third-Party Services
The Website or app may link to third-party services. Zivli is not responsible for their content, policies, or actions.

18. No Warranties
The Services are provided “as is” without warranties of any kind, express or implied.
Zivli does not guarantee uninterrupted or error-free access.

19. Limitation of Liability
To the maximum extent permitted by law, Zivli shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the Website or Services.
Your sole remedy for dissatisfaction is to discontinue use of the Services.

10. Indemnification
You agree to indemnify and hold harmless Zivli and its officers, employees, contractors, and affiliates from claims arising from:
* Your use of the Services
* Your violation of these Terms
* Your violation of any applicable law

21. Dispute Resolution; Binding Arbitration
Before initiating arbitration, you agree to contact Zivli at support@zivli.com and allow thirty (30) days for informal resolution.
Except for claims eligible for small claims court, any dispute arising out of or relating to these Terms, the Website, or Services shall be resolved through binding arbitration conducted in Plattsmouth, Nebraska, or virtually if agreed by the parties.
You and Zivli agree that disputes will be brought only in an individual capacity and not as a class, collective, or representative action. The arbitrator may not consolidate claims or preside over any representative proceeding.

22. Governing Law
These Terms are governed by the laws of the State of Nebraska.

23. Severability
If any provision is found unenforceable, the remainder remains in full force and effect.

23. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Zivli regarding the Services.

24. Electronic Acceptance
By checking the box stating:
“I have read and agree to the Terms and Conditions,”
you acknowledge that your electronic acceptance is legally binding.
